POSI Terms of Service Agreement
This Terms of Service Agreement ("Agreement") is entered into between: Positive Network Corp, a Wyoming corporation located at 1621 Central Avenue, Cheyenne, Wyoming 82001 USA who can be contacted at [email protected]
with D-U-N-S Number: 138-011-468 ("Company"),and the individual or entity agreeing to these terms ("Member").
1.1. The Company operates Positive Network, a social group with various membership tiers.
1.2. POSI (Protectorate of Sovereign Individuals) is a higher-level tier within the Positive Network social group.
1.3. POSI membership includes access to exclusive in-person speakeasy events and other potential benefits to be provided to the member on an AS-IS basis.
1.4. Members are responsible for their own travel, accommodation, and food expenses related to events.
2.1. POSI membership is open to individuals 21 years of age or older.
2.2. A parent or legal guardian may sign up a minor aged 12 years or older if it is legal in their jurisdiction and with the minor’s full consent.
2.3. Prospective members must pass due diligence checks and pay the membership fee to be included.
2.4. The Company reserves the right to accept or reject any membership application.
3.1. The annual POSI membership fee is $1500 USD.
3.2. Renewal fees are due on the anniversary of membership.
3.3. If fees are not collected within 30 days of the due date, membership will be canceled with an administrative fee of $50.
3.4. Unauthorized attendance at events after membership expiration will incur a fee of $500 per event.
3.5. Members who cause damages will reimburse the Company due 10 days after the damage invoice is sent to the Member via email.
3.6. Outstanding balances after 60 days will accumulate interest at a compounding rate of 1% per month until paid and the Company reserves the right to engage debt collection services to recover any outstanding debts owed.
Members agree to abide by the following 12 rules:
4.1. Respect and Conduct: Members must treat all other members with respect and maintain a professional demeanor during all POSI events and interactions. The golden rule applies: treat others as you'd want to be treated.
4.2. Confidentiality: Members must maintain strict confidentiality regarding any non-public personal or business information shared within the group. Information that is already known to the public outside the group does not qualify as confidential.
4.3. Non-Solicitation: General one-on-one conversations about work are acceptable. Members may discuss their current projects in normal conversation. However, explicit permission is required for any sales-focused discussions or pitches. Please monitor how the other Member is reacting to what you’re saying and discontinue if they seem disinterested.
4.4. Honesty and Integrity: Members must be truthful in communications and dealings within the POSI community. Lying, cheating, misleading, gossiping, scamming, flaming, and all forms of bullying will not be tolerated.
4.5. Intellectual Property: Members must respect the intellectual property rights of others. Do not misuse or misappropriate ideas or information shared within the group. Always give credit to others for their ideas and contributions.
4.6. Conflict Resolution: All conflicts will be handled privately. Anyone who consistently starts drama will be immediately ejected from the group. Members should try to resolve conflicts between each other privately first, if not possible, then bring conflicts to the POSI administration's attention privately, allowing the administration to decide how to proceed to resolve the situation. If not possible, then private binding arbitration will be next, with any criminal court case being a last resort.
4.7. Duty to report: If members observe other members breaking these rules, they have a duty to report them to the POSI administration staff.
4.8. Non-Disparagement: Members should never disparage other members. Doing so will be immediate grounds for removal from the group. If they have an issue, bring it up with the POSI administration.
4.9. Use of Company Names: Members must not use the names "Positive Network," "POSI," or any associated logos for personal or business purposes without explicit permission from Positive Network Corp.
4.10. Guest Policy: Generally, guests are not allowed at events. Members must obtain approval before bringing guests to POSI events and are responsible for their guests' adherence to these rules. For example: A spouse may stay at the event location but cannot attend the event without express written permission, unless they are a POSI member.
4.11. Social Media and Public Communications: Members must exercise discretion when discussing POSI on social media or in public forums, respecting the privacy and confidentiality of the group and its members. If in doubt, ask the POSI administration.
4.12. Compliance with Laws: Members must comply with all applicable laws and regulations in their interactions within Positive Network, and POSI.
5.1. The Company reserves the right to remove any member from the group at its sole discretion, for any reason.
5.2. The Company is not obligated to disclose the reason for a member's removal.
5.3. Violation of any of the rules in Section 4 may result in immediate removal.
6.1. Membership fees are non-refundable unless the Company removes a member from the group.
6.2. If a member is removed before attending any events, they will receive a full refund.
6.3. If a member is removed after attending one event, they will receive a 50% refund.
6.4. No refund will be provided if a member is removed after attending both annual events, and has not paid a renewal fee yet.
7.1. Members agree to keep all non-public information shared within POSI confidential.
7.2. Breaching confidentiality will result in immediate removal from the group with no refund.
7.3. For each breach of confidentiality per entity disclosed, the Member agrees that they will owe the Company $20,000 USD in liquidated damages.
7.4. The Company and affected Members reserve the right to pursue additional legal remedies for confidentiality breaches.
8.1. POSI is a networking group that provides experiences and connections.
8.2. The Company does not provide professional services of any kind.
8.3. Information exchanged within Positive Network and POSI may be incorrect, and the Company cannot be held liable for any inaccuracies.
9.1. The names "Positive Network" and "POSI" belong to Positive Network Corp.
9.2. Members may not use these names or associated logos for personal or business purposes without explicit permission.
10.1. In case of disputes, the Company may offer a full refund to resolve the issue.
10.2. For serious disputes, parties agree to use binding arbitration.
10.3. Members agree not to publicly sue or disparage each other or the Company.
10.4. Legal action should only be pursued as a last resort if arbitration fails.
11.1. The Company's liability is limited to the amount paid by the Member for the current year's membership.
11.2. The Company is not liable for any indirect, incidental, or consequential damages.
12.1. The Company reserves the right to modify this Agreement at any time.
12.2. Members will be notified of changes via email.
12.3. Changes will take effect 7 days after notification.
12.4. Continued use of POSI services after changes take effect constitutes acceptance of the modified Agreement.
13.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States.
14.1. Members may contact the Company by email at [email protected].
15.1. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary and if possible reworded in a similar spirit, so that this Agreement shall otherwise remain in full force and effect and enforceable.
16.1. The following sections of this Agreement shall survive the termination or expiration of membership: - Section 4.2 (Confidentiality) - Section 4.5 (Intellectual Property) - Section 4.9 (Use of Company Names) - Section 4.11 (Social Media and Public Communications) - Section 4.12 (Non-Disparagement) - Section 7 (Confidentiality) - Section 8 (Disclaimer of Professional Services) - Section 9 (Intellectual Property) - Section 10 (Dispute Resolution) - Section 11 (Limitation of Liability) - Section 13 (Governing Law)16.2. These surviving provisions shall continue to apply even after a member leaves or is removed from POSI. By paying the membership fee and participating in POSI activities, the Member acknowledges that they have read, understood, and agree to be bound by this Terms of Service Agreement.
